Terms of Service

These Terms of Service ("Terms") govern your use of Rivard Cloud's website and services. By purchasing, accessing, or using our services, you agree to these Terms. Pricing, packages, and add-ons described herein form part of the service agreement.

1. Definitions

In these Terms:

  • "Rivard Cloud," "we," "us," "our" means Rivard Cloud, Windsor-Essex, Ontario, Canada.
  • "Customer," "you," "your" means the individual or business purchasing or using the Services.
  • "Services" means website design/development, hosting, email hosting, domains/DNS support, maintenance, and related support offered by Rivard Cloud.
  • "Order," "Plan," or "Subscription" means your selected service package and billing term (including Monthly Subscription Packages, One-Time Payment Packages, Add-Ons, Content Change Blocks, and Ongoing Hosting & Care as described in Section 6).
  • "Content" means text, images, video, files, data, and other materials you provide or publish using the Services.
  • "SOW" means a written statement of work describing custom project scope, deliverables, and pricing.

2. Eligibility & Account Information

You must be able to form a legal contract to use our Services. You agree to provide accurate contact and billing details and keep them current. You are responsible for all activity under your account (including any users you authorize).

3. Scope of Services

We provide the Services described on our website, invoices, proposals, or SOW. Service details (features, limits, response times, included edits, etc.) are defined by your Plan or SOW.

  • Website work: design, layout, content placement, and standard integrations (forms, analytics, basic SEO setup, etc.).
  • Hosting/email: server resources, email mailboxes (if included), and basic support for configuration.
  • Third-party services: plugins, themes, gateways, DNS providers, or email relays may be required and are governed by their own terms.

Specific features included in each package tier are detailed in Section 6 — Pricing & Packages.

4. Customer Responsibilities

You agree to:

  • Provide required content (logos, copy, photos, product info, brand assets) in a timely manner.
  • Review and approve milestones promptly. Delays may extend timelines.
  • Ensure you have rights to use all Content you provide (images, logos, text, music, etc.).
  • Use the Services lawfully and not to distribute malware, spam, or harmful content.
  • Maintain your own copies of Content (see Section 9 — Backups).

5. Acceptable Use

You may not use our Services to:

  • Send spam, phishing, or unsolicited bulk email.
  • Host, distribute, or link to malware, hacking tools, or content designed to exploit systems.
  • Violate intellectual property rights, privacy rights, or applicable laws.
  • Upload content that is illegal, deceptive, or intended to harm others.
  • Attempt unauthorized access to systems, accounts, or networks.

We may suspend or limit Services if we reasonably believe your use threatens security, violates law, or violates these Terms.


6. Pricing & Packages

All prices are in Canadian Dollars (CAD). All monthly packages require a 12-month commitment.

6.1 Service Packages

Rivard Cloud offers monthly subscription and one-time payment packages at various tiers. Package details, features, and current pricing are available by contacting us at info@rivard.cloud. All packages require a 12-month commitment.

6.2 Ongoing Hosting & Care — $50/month

Required for one-time packages after Year 1. Included automatically with monthly subscription plans. Once your initial 12-month subscription term is complete, your plan transitions to Ongoing Hosting & Care at $50/month, which continues to include all hosting, security, backups, and minor updates described below.

  • Managed WordPress Hosting — professional-grade hosting with guaranteed uptime & infrastructure management.
  • Free SSL (HTTPS) — encrypted connection, padlock icon, essential for trust & Google rankings.
  • Daily Backups — automatic daily copies stored securely off-site with point-in-time restore.
  • WordPress & Plugin Updates — all software kept current with compatibility testing & rollback capability.
  • Security Monitoring — continuous scanning for malware, vulnerabilities & suspicious activity.
  • Uptime Monitoring — 24/7 automated checks; if the site goes down, we're alerted immediately.
  • Email Support — direct email access to our support team with prompt response times.
  • Minor Updates (~15 min) — small content changes included free (phone numbers, hours, image swaps, typo fixes).

Larger requests beyond 15 minutes are billed using Content Change Blocks (see Section 6.3).

6.3 Content Change Blocks

Need updates beyond what's included in your Ongoing Care plan? Purchase a Content Change Block and use it whenever you need.

2-Hour Block $150 Quarterly refreshes, batched changes
5-Hour Block $425 Active businesses with frequent updates

What's covered: text changes, image swaps & banner updates, small layout adjustments, button & link updates, and basic SEO tweaks (page titles & meta descriptions). Blocks never expire. Larger requests (new pages, redesigns, e-commerce work) are quoted separately.


7. Billing & Payments

Fees are shown on your invoice, plan page, proposal, or SOW. Taxes may apply. You authorize Rivard Cloud (or our payment processor) to charge the payment method on file.

  • Subscriptions: billed monthly or annually (as selected) and renew automatically unless cancelled. All monthly subscription packages require a 12-month commitment. After the initial 12-month term, subscriptions continue at the Ongoing Hosting & Care rate of $50/month unless otherwise agreed.
  • One-time packages: billed as quoted. The one-time price covers your website build plus 12 months of hosting & care. After Year 1, ongoing hosting & care continues at $50/month.
  • Content Change Blocks: purchased as needed. Blocks never expire.
  • Late payments: late invoices may result in suspension until the balance is paid.

8. Renewals, Cancellations & Termination

Subscriptions renew automatically unless you cancel. To avoid renewal charges, submit a cancellation request before your renewal date. If you cancel, you remain responsible for fees incurred up to the cancellation effective date.

  • Customer cancellation: you may cancel by contacting us at info@rivard.cloud.
  • Our termination: we may terminate or suspend Services for non-payment, security risk, or material breach of these Terms.
  • Data after termination: you should export and back up your data prior to termination. We are not obligated to retain Content after service ends.

9. Backups & Data Responsibility

Unless your Plan explicitly includes managed backups and restores (see daily backups and advanced backup & recovery features in Section 6.1), you are responsible for maintaining current backups of your website and data. Even where backups exist, restores are not guaranteed for every scenario (e.g., severe corruption, third-party failure, or compromise).

10. Domains, DNS & Email Deliverability

If you purchase domains or DNS support through Rivard Cloud, you authorize us to manage DNS records required for your Services. Email deliverability can be affected by recipient filters, sending reputation, and configuration (SPF/DKIM/DMARC). We do not guarantee that every email will be delivered or land outside of spam.

11. Third-Party Tools, Plugins & Licenses

Your website may rely on third-party themes, plugins, SaaS tools, payment gateways, or APIs. Some may require separate licenses, subscriptions, or renewals. Unless explicitly included in your Plan or SOW, third-party costs are your responsibility.

12. Intellectual Property

  • Your Content: you retain ownership of Content you provide. You grant us permission to use it solely to deliver the Services.
  • Rivard Cloud materials: our processes, templates, code libraries, documentation, and branding remain ours.
  • Project deliverables: unless otherwise stated in your SOW, you receive a license to use the completed website deliverables for your business.

13. Security & Access

You are responsible for keeping login credentials secure and for using strong passwords and MFA where available. If we suspect compromise or abuse, we may reset access, suspend services, or request verification.

14. Service Availability

We aim for reliable uptime, but interruptions can occur due to maintenance, upgrades, third-party outages, or events outside our control. We do not guarantee uninterrupted or error-free service.

15. Disclaimers

Services are provided "as is" and "as available," to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except where prohibited by law.

16. Limitation of Liability

To the maximum extent permitted by law, Rivard Cloud will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Our total liability for any claim relating to the Services will not exceed the amounts you paid to Rivard Cloud in the three (3) months immediately prior to the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless Rivard Cloud from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your Content, your misuse of the Services, or your violation of these Terms or applicable law.

18. Confidentiality

If we access non-public business information to deliver Services, we will use reasonable care to keep it confidential. This does not apply to information that is public, independently developed, or lawfully obtained from another source.

19. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on our website. Continued use of the Services after changes means you accept the updated Terms.

20. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
